Updated: Blue Bird to Acquire Full Ownership of Micro Bird, Expand Market Share

Blue Bird Corporation announced its pending acquisition of the remaining 50-percent equity interest in Micro Bird, a joint venture with Canadian bus manufacturer Girardin Minibus. ​The $198.2 million deal, which values Micro Bird at $429.6 million, is expected to close by the end of the second quarter, pending regulatory approval and customary closing conditions. ​

The OEM confirmed Micro Bird President Eric Boule and his current management team continue to oversee day-to-day operations.

The Micro Bird brand originated in the mid-1970s, when Blue Bird introduced its first Type A school bus built on a cutaway van chassis. Blue Bird entered a supply agreement with Girardin Minibus in 1992 to build the Micro Bird in Quebec. The most recent joint venture between Blue Bird and Girardin was signed in 2009, which created Micro Bird, Inc.

The transaction announced Tuesday is funded through a combination of 70-percent stock and 30-percent cash. It includes the $16.5 million purchase of Micro Bird’s new manufacturing facility in Plattsburgh, New York and the transfer of its OEM service parts inventory for $400,000, according to a company presentation on the deal strategy and structure. ​Blue Bird said it plans to issue 2.7 million shares to fund the stock portion and use $154.2 million in cash for the remainder. ​

Blue Bird said the acquisition is expected to enhance the company’s market share in the K-12 student transportation industry by expanding its product portfolio to include a comprehensive lineup of Type A, C and D buses powered by diesel, gas, propane, and electric powertrains. ​The deal will also double Micro Bird’s addressable market in the U.S., thanks to its compliance with Buy America requirements, and strengthen Blue Bird’s presence in Canada. ​

The transaction is projected to be immediately accretive to earnings, with an estimated 8.2 percent increase in earnings per share in fiscal year 2026. ​Blue Bird’s pro forma revenue is expected to grow from $1.5 billion to $1.9 billion, while adjusted EBITDA is forecasted to increase from $225 million to $250 million. The company said it anticipates long-term revenue growth to reach $2.5 billion by 2030, with an EBITDA margin exceeding 15 percent. ​

Blue Bird Signs Definitive Agreement to Acquire & Consolidate Micro Bird Joint Venture

MACON, Ga.  – Blue Bird Corporation (Nasdaq: BLBD), the leader in electric and low-emission school buses, has signed an agreement to acquire Girardin Group’s stake in the 50/50 Micro Bird joint venture, thereby, taking full ownership of the enterprise. Blue Bird will pay approx. $200 million for Girardin’s joint venture share, with 30% in cash and 70% in Blue Bird common stock. The transaction is expected to close in the first half of calendar year 2026, pending fulfillment of various closing conditions and regulatory approvals. The acquisition demonstrates Blue Bird’s commitment to growth and market expansion. The transaction allows Blue Bird to consolidate its North America operations and unify its businesses under one team and brand, unlocking further value for customers and shareholders. UPDATED: National School Bus Inspection Training Returns to STN EXPO East

The annual school bus inspection training that goes above and beyond state and federal Department of Transportation requirements brings back OEM training and looks to add post-crash inspection criteria in addition to hands-on detection of defects.

Developed by school bus maintenance and inspection expert Marshall Casey for the South Carolina Department of Education, the in-depth training at STN EXPO East starts with classroom instruction on Friday, March 27. The eight-hour training will also include a written exam on the National School Bus Training manual.

On Saturday, participants attend a morning maintenance software session sponsored by Transfinder. They will then be transported to a local school district in Charlotte, North Carolina for the hands-on training which includes an overview of high-voltage school bus electrification followed by instruction on finding real defects on real school buses. Class attendees will learn how to avoid costly repairs with early detection, which also leads to less vehicle downtime and a more efficient school bus maintenance schedule in the garage.

This year, inspection training participants will also participate in a competition. They will be split into three groups to identify defects hidden on three school buses. The fastest group with the most identified defects wins prizes provided by the South Carolina Department of Education. 

Afterward, representatives of Blue Bird, IC Bus, RIDE and Thomas Built Buses will provide one-hour overview training on aspects of inspecting various components on their school buses. Topics include inspection of a propane-autogas system, inspection of a wheelchair lift, an introduction to CEEA+architecture covering system layout, XMC inputs and outputs, CAN communication, power and ground distribution and more. 

Meanwhile, the inspection training is designed based on best practices from the South Carolina Department of Education, which operates the only state-owned and operated fleet in the country. The department’s maintenance team, which serves as the hands-on inspection and classroom instructors at STN EXPO East, was recognized as one of the nation’s top 10 Garage Stars last August by School Transportation News. Participants of the training will be learning directly from some of these recognized student transportation professionals.

School bus inspection training class size is limited to 50 participants to ensure the instructors will be able to provide a thorough training experience for everyone registered. Separate registration and fee are required to attend.

Webinar Discusses Impact of Propane School Buses on Costs, Health and Maintenance

A webinar hosted by the Propane Education & Research Council outlined the benefits of propane-fueled school buses with transportation professionals that are currently using them in their fleets.

“Blue Bird loves to make buses, and we love to make options,” said Steve Whaley, alternative fuels manager at Blue Bird during the Wednesday webinar. He discussed a comparison with propane to other fuels in terms of cost differential, as he said perception of alternative fuels is that they tend to be more expensive.

With over 20,000 propane buses on the road, Whaley said that savings are significant with average fuel and maintenance costs of about $3,700 per year per bus. As opposed to other clean fuel options and even when compared to diesel, the infrastructure costs are the lowest of any other fuels because propane evaporates leading to fewer regulations from the EPA. Since so much propane is sourced in the U.S., Whaley said transportation departments can avoid the cost instability that comes with outsourcing fuel from outside the country.

Whaley quoted Mike Bullman, director of transportation for the South Carolina Department of Education, as saying, “We don’t need funding for propane, those things pay for themselves.”

To discuss the health benefits of propane, Bailey Arnold from the American Lung Association presented statistics on the high rates of lung cancer in the U.S. As the director of healthy air solutions, Arnold said the organization is committed to fighting the high rates of lung cancer that lead to nearly 125,000 lives lost every year.

He noted that implementing propane is one of the things society can do to combat these mortality rates and health issues as well as high CO2 emissions, explaining that while emissions are commonly measured and analyzed on a yearly basis, “they stack up and have a cumulative effect.”

He said that he would encourage school districts to consider propane now as it will only get more difficult to reduce overall emissions. Arnold referenced a recent NREL study that found that using propane would save 147 tons of carbon emissions in three years, while renewable propane would save 360 tons over the same period.

Amy Rosa, director of safety and transportation at Wa-Nee Community Schools in northern Indiana, is currently running 25 Blue Bird propane buses out of the 56 buses in her fleet that transports 3,000 students. She said losing two parents to lung disease in recent years spurred her passion for cleaner fuels. Meanwhile, the Volkswagen mitigation trust grant funding contributed a lower cost of implementation for the new propane buses. She said her district is always looking to save money to benefit the students and taxpayers, and that propane buses helped do that.

She said the transition was seamless, and that partnerships with the suppliers were supportive. Mechanics and drivers were on board. She said that the drivers appreciate the quieter engines, which “reduces tension with students and drivers” and that these quiet, clean, warm buses are improving student behavioral student issues. In a cold state, she said the quick heating ability of propane buses with no need for auxiliary heaters has been a benefit, and that her drivers have told her, “I love knowing my bus will start no matter how cold it gets.”

Whaley noted that Diane Mikelski, the recently retired director of transportation at Illinois’ Township High School District 211, will be speaking about her experience with propane buses at the upcoming Transporting Students with Disabilities and Special Needs (TSD) Conference in November on the benefits of a quieter bus on student behavior.

Sam Corson, the bus and automotive maintenance manager at Newport News Community Schools in Virginia, said he has seen immediate positive results from using propane buses. He said with wide city borders, which requires school bus drivers to often log 100 to 200 miles a day, long-range buses are necessary. He said Newport News has had no issues with propane buses doing around 340 miles on one tank.

Corson said that about 80 percent of district routes are covered by the 180 propane buses out of 306 total in the fleet,. Cost savings are evident, with diesel buses costing 38 cents per mile to operate compared to 29 cents on propane.

“I noticed all the things [a propane bus] does not have that I was continuously fixing on a daily basis,” he shared, and continued that he has seen a reduction in bus breakdowns.

Learning maintenance was simple for his team, he said, noting that the local Blue Bird dealership led training for all the mechanics to make sure they were comfortable with the new buses. Corson said that due fewer regulations and overall positive reactions to propane buses, the district decided to not decommission and replace the fuel tank.

Both Rosa and Corson praised the ROUSH CleanTech fueling software that allows them to keep track of fuel levels and that suppliers have been consistent. They also noted that they did not have to invest in new additions for their maintenance facilities when implementing propane.

When asked what she would tell another director who is considering buying propane buses, Rosa said, “No hesitation…the choice is a no-brainer for kids and for your mechanics, for bus drivers. It’s just a really good choice all around. I couldn’t think of any reason why you wouldn’t.”

Corson said his advice is to “jump in 100 percent.”

“I couldn’t see myself buying [another] diesel unless I was forced to,” he continued, adding that maintenance is much simpler on propane buses and any issues that do come up are usually easy fixes.

IMMI, Blue Bird Celebrate Opening of New Manufacturing Plant in Macon, Georgia

IMMI’s 75,000 square-foot plant will support school bus maker Blue Bird after the company announced to equip select model buses with industry-first safety upgrades, including seats with three-point seat belts as standard protection for all student passengers and a steering wheel deployed air bag to safeguard school bus drivers.

Micro Bird Officially Opens U.S. Manufacturing, School Bus Production Already Underway

The new U.S.-based manufacturing of the Micro Bird joint venture between Blue Bird and Girardin Minibus of Quebec is underway, with the plant in Plattsburgh, New York, officially opening this past week.

The formation of Micro Bird USA LLC was announced last November with the factory, formerly a Nova Bus plant, acquired in December with a $38 million investment. The first U.S. manufactured Micro Birds in 15 years began rolling off the production line in July

Micro Bird said the 156,000-square-foot plant currently employs 225 workers with a goal of growing the number to 350 when it reaches full production capacity. The project is supported by the Empire State Development with nearly $10 million in performance-based Excelsior Jobs Program tax credits and a $2.5 million capital grant from the North Country Regional Economic Development Council.

New York Gov. Kathy Hochul was on hand Wednesday for the ribbon cutting ceremony.

“Today’s grand opening celebration marks a new chapter for Plattsburgh,” she said. “We are proud to welcome Micro Bird to the North Country, where the company is tapping into our skilled workforce, thriving transportation cluster, and major regional investments. This new facility strengthens the local economy, creates good jobs, and builds a brighter future for the region and all of New York.”

The current Micro Bird joint venture dates to Sept. 14, 2009, when Blue Bird and Quebec-based school bus manufacturer and dealer A. Girardin Inc. entered a 50-50 partnership agreement to create Micro Bird, Inc. and jointly market the Type A school bus branded as Micro Bird by Girardin. Girardin provided all body design, manufacturing and assembly.

Blue Bird and Girardin also entered a supply marketing agreement in 1991 to sell the Type A vehicles through Blue Bird’s sales network. The school bus was mostly assembled at Girardin’s Brantford, Ontario, plant but also at Blue Bird’s Fort Valley, Georgia, plant from 2006-2010, said Steve Girardin, the executive chairman of Micro Bird, Inc. He also noted that Girardin designed the very first Micro Bird for Blue Bird in the 1970s.

The Plattsburgh plant opening returns a significant portion of Micro Bird production to the U.S. to supplement ongoing manufacturing in Quebec but with a much larger footprint. Micro Bird USA said last year it expects the new facility will double the company’s Type A production. NBC5 reported Micro Bird USA expects the plant will help increase daily production to 15 buses a day from its current five a day.

The new plant is also fully compliant with the Buy America Act.

“This grand opening is a proud moment for the entire team,” said Eric Boulé, president and CEO of Micro Bird. “With our new facility, we are doubling our production capacity and increasing our ability to deliver high-quality, long-lasting small and mid-size buses to our customers.”

Boule added Micro Bird had been planning expansion “for some years.”

“Plattsburgh was the perfect choice for us, the availability of a highly skilled workforce, proximity to major markets, and within a community with a strong manufacturing ecosystem,” he continued.

Blue Bird Delivers Electric School Bus Fleet to Little Rock School District in Arkansas

MACON, Ga.- Blue Bird Corporation (Nasdaq: BLBD), the leader in electric and low-emission school buses, is delivering 25 electric school buses to Little Rock School District (LRSD) in Arkansas. The zero-emission school bus fleet marks a new era of clean student transportation for the school district. LRSD is the third-largest school district in the state and operates more than 40 schools serving over 19,000 students.

Blue Bird provides its most advanced Vision electric school buses to Little Rock School District. The state-of-the-art electric buses have a vehicle range of up to 130 miles on a single charge and can carry up to 69 passengers. The high-performance batteries take merely two hours to fully recharge.

Following the completion of the Blue Bird electric school bus order, LRSD will maintain a bus fleet of approximately 70 vehicles. LRSD’s zero-emission school buses will travel nearly 1,400 miles each school day, as they pick up and safely transport 500 students to and from schools.

LRSD received a $9,875,000 grant through the U.S. Environmental Protection Agency’s (EPA) widely popular and highly effective Clean School Bus Program to purchase its Blue Bird electric school bus fleet. The EPA has already awarded nearly $3 billion through the landmark bipartisan initiative. The program to date will enable more than 1,300 school districts nationwide to replace old diesel buses with nearly 9,000 electric and ultra-low emission vehicles.

LRSD can considerably lower its operating expenses by replacing diesel with electric school buses due to reduced fuel and vehicle maintenance costs. School districts have reported paying a mere 19 cents per mile in energy costs for electric buses compared to fuel costs of up to 79 cents per mile for their diesel buses.

Blue Bird is the only U.S.-owned and operated school bus manufacturer in the United States. The company remains the proven clean transportation leader with more than 2,500 electric-powered, zero-emission school buses in operation today.

Blue Bird Reports Fiscal 2025 Third Quarter Results; Beats Third Quarter Guidance With Record Results; Raising 2025 Guidance and Long-Term Outlook; $100M Share Buy-back Announced

MACON, Ga.-Blue Bird Corporation (“Blue Bird”) (Nasdaq: BLBD), the leader in electric and low-emission school buses, announced today its fiscal 2025 third quarter results.
“I am incredibly proud of our team in delivering another outstanding result, achieving a new all-time quarterly record revenue and profit,” said John Wyskiel, President & CEO of Blue Bird Corporation. “The Blue Bird team continued to exceed expectations, improving operations, navigating tariffs, and expanding our leadership in alternative-powered buses. Our backlog remains strong with approximately 3,900 units at the end of the third quarter, despite industry orders slowing due to tariff-related pricing actions. Unit sales were above the same period as last year, and revenue was up by $65M, driven by product mix and pricing. We delivered an exceptional Adj. EBITDA of $58.5M for Q3 2025, a new all-time record for the Company.

“In our push to expand our leadership in alternative-powered school buses, we delivered a record 271 electric-powered buses this quarter. As of the end of the quarter, we have 1,200 EV buses either sold or in our firm order backlog, which supports our EV sales target for 2025.

Raising FY2025 Guidance and Long-Term Outlook

Fiscal 2025 Third Quarter Results

Net Sales

Net sales were $398.0 million for the third quarter of fiscal 2025, an increase of $64.6 million, or 19.4%, compared to $333.4 million for the third quarter of fiscal 2024. The increase in net sales is primarily due to an increase in Bus unit bookings, Bus customer and product mix changes and cumulative Bus price increases, including an increase that was intended to mitigate the impact of increased procurement costs for certain of our imported inventory as a result of the imposition of tariffs beginning during the third quarter of fiscal 2025, as well as a small increase in Parts sales.

Bus sales increased $64.2 million, or 20.8%, reflecting a 14.7% increase in unit bookings and a 5.4% increase in average sales price per unit. In the third quarter of fiscal 2025, 2,467 units booked compared to 2,151 units booked for the same period in fiscal 2024. The increase in unit price for the third quarter of fiscal 2025 compared to the same period in fiscal 2024 was primarily due to customer and product mix changes as well as price increases implemented to offset increases in inventory costs.

Parts sales increased $0.4 million, or 1.7%, for the third quarter of fiscal 2025 compared to the third quarter of fiscal 2024. This increase is primarily attributed to price increases implemented to offset increases in inventory costs that were partially offset by slight variations due to product and channel mix.

Gross Profit

Third quarter gross profit of $85.9 million represented an increase of $16.6 million from the third quarter of last year. The increase was primarily driven by the $64.6 million increase in net sales, discussed above, and partially offset by a corresponding increase of $48.1 million in cost of goods sold.

Net Income

Net income was $36.5 million for the third quarter of fiscal 2025, an increase of $7.7 million from the third quarter of last year. Among other smaller fluctuations, the $16.6 million increase in gross profit, discussed above, was offset by an increase of $6.2 million in selling, general and administrative expenses, primarily due to an increase in a) research and development expense in the third quarter of fiscal 2025 and b) labor costs.

Adjusted Net Income

Adjusted net income of $38.7 million represented an increase of $8.1 million from the third quarter of last year. The increase was primarily driven by the $7.7 million increase in Net Income, discussed above.

Adjusted EBITDA

Adjusted EBITDA was $58.5 million, which was an increase of $10.2 million compared with the third quarter of fiscal 2024. The increase primarily relates to the increase in gross profit, when adjusting for the impact of expenses that are excluded in calculating Adjusted EBITDA, as outlined in the gross profit discussion above that was partially offset by a smaller increase in selling, general and administrative expenses, when adjusting for the impact of expenses that are excluded in calculating Adjusted EBITDA, as discussed above.

Year-to-Date Fiscal 2025 Results

Net Sales

Net sales were $1,070.7 million for the nine months ended June 28, 2025, an increase of $73.8 million, or 7.4%, compared to $996.9 million for the nine months ended June 29, 2024. The increase in net sales is primarily due to an increase in Bus unit bookings, Bus customer and product mix changes and cumulative Bus price increases, including an increase that was intended to mitigate the impact of increased procurement costs for certain of our imported inventory as a result of the imposition of tariffs beginning during the third quarter of fiscal 2025, as well as a small increase in Parts sales.

Bus sales increased $73.7 million, or 8.0%, reflecting a 5.5% increase in units booked and a 2.4% increase in average sales price per unit. 6,892 units booked in the nine months ended June 28, 2025 compared with 6,534 units booked during the same period in fiscal 2024. The increase in unit price for the first nine months of fiscal 2025 compared to the same period in fiscal 2024 was primarily due to customer and product mix changes as well as price increases implemented to offset increases in inventory costs.

Parts sales increased $0.1 million, or 0.2%, for the nine months ended June 28, 2025 compared to the nine months ended June 29, 2024. This small increase is primarily attributed to price increases implemented to offset increases in inventory costs that were partially offset by slight variations due to product and channel mix.

Gross Profit

Fiscal year-to-date gross profit was $217.1 million, an increase of $20.5 million from the same period in the prior year. The increase was primarily driven by the $73.8 million increase in net sales, discussed above, and partially offset by a corresponding increase of $53.2 million in cost of goods sold.

Net Income

Net income was $91.2 million for the nine months ended June 28, 2025, a $10.3 million increase from the same period in the prior year. The increase in net income was primarily driven by the $20.5 million increase in gross profit, discussed above, and among other smaller fluctuations, was partially offset by an increase of $17.5 million in selling, general and administrative expenses, primarily due to an increase in a) share-based compensation expense recorded in the second quarter of fiscal 2025 relating to the retirement of our former President and Chief Executive Officer, b) labor costs and c) research and development expense.

Adjusted Net Income

Adjusted net income was $100.8 million for the nine months ended June 28, 2025, an increase of $11.3 million compared to the same period in the prior year. This is primarily due to the $10.3 million increase in Net Income, discussed above.

Adjusted EBITDA

Adjusted EBITDA was $153.4 million for the nine months ended June 28, 2025, an increase of $11.8 million compared to the same period in the prior year. This increase is primarily due to the increase in gross profit, when adjusting for the impact of expenses that are excluded in calculating Adjusted EBITDA, as outlined in the gross profit discussion above, that was partially offset by a smaller increase in selling, general and administrative expenses, when adjusting for the impact of expenses that are excluded in calculating Adjusted EBITDA, as discussed above.
